Terms of Service

1. Introduction

Welcome to Axim Commerce. These Terms of Use ("Terms") govern your access to and use of the Axim Commerce platform, including our website, software, and services (collectively, the "Services"). Axim Commerce provides a specialized eCommerce solution specifically tailored for the unique needs of wholesale distributors and manufacturers.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services. These Terms constitute a legally binding agreement between you and Axim Commerce.

 

2. Acceptance of Terms

By registering for, accessing, browsing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In that case, "you" and "your" will refer to that entity.

 

3. Scope of Service for Customers

Axim Commerce is designed specifically to support B2B workflows, including bulk ordering, customer-specific pricing, and inventory management. You acknowledge that our Services are intended for commercial use by businesses and not for personal or household use.

We grant you a limited, non-exclusive, non-transferable, and revocable license to use our Services strictly in accordance with these Terms and solely for your internal business operations related to the sale of goods.

 

4. Account Registration

To access certain features of the Services, you must register for an account. When you register, you agree to:

  • Provide accurate, current, and complete information about yourself and your business as prompted by the registration forms.
  • Maintain and promptly update your account information to keep it accurate, current, and complete.
  • Maintain the security of your password and accept all risks of unauthorized access to your account.
  • Notify us immediately if you discover or suspect any security breaches related to the Services or your account.

You are responsible for all activities that occur under your account, regardless of whether you authorized that activity. Axim Commerce will not be liable for any loss or damage arising from your failure to protect your account credentials.

 

5. User Responsibilities

You agree to use the Services only for lawful purposes and in accordance with these Terms. As a user, you are responsible for:

  • Content Accuracy: Ensuring that all product data, pricing, and inventory information you upload to the platform is accurate and complies with applicable laws.
  • Customer Data: Handling your customers' data in compliance with all applicable privacy laws and regulations (e.g., GDPR, CCPA).
  • Compliance: Obtaining all necessary licenses, permissions, and consents required to sell the goods you offer through the Axim Commerce platform.

     

6. Payment Terms

Subscription Fees

Access to Axim Commerce is subject to the payment of subscription fees. Fees are billed in advance on a monthly or annual basis, depending on your selected plan. All fees are non-refundable unless otherwise stated in writing.

Usage-Based Charges

Certain features or transaction volumes may incur additional charges. You agree to pay all such charges associated with your account.

Taxes

You are responsible for all taxes, duties, and assessments related to your use of the Services, except for taxes based on Axim Commerce's net income.

Non-Payment

Failure to pay subscription fees when due may result in the immediate suspension or termination of your access to the Services.

 

7. Intellectual Property

Our Property

Axim Commerce retains all right, title, and interest in and to the Services, including all related intellectual property rights. The Axim Commerce name, logo, and product names are trademarks of Axim Commerce. Nothing in these Terms grants you a right to use any of our trademarks, logos, domain names, or other distinctive brand features.

Your Property

You retain all rights to the data, content, and information you upload to the Services ("User Content"). By uploading User Content, you grant Axim Commerce a worldwide, royalty-free license to use, host, store, and display your content solely as necessary to provide the Services to you.

 

8. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

  • Reverse Engineering: Attempting to reverse engineer, decompile, or disassemble any aspect of the Services.
  • Interference: Using the Services in any manner that could interfere with, disrupt, negatively affect, or inhibit other users from fully enjoying the Services.
  • Unauthorized Access: Attempting to gain unauthorized access to the Services, user accounts, or computer systems or networks connected to the Services.
  • Scraping: Using any robot, spider, crawler, scraper, or other automated means to access the Services or extract data.
  • Illegal Sales: Using the platform to sell illegal, counterfeit, or prohibited goods.

     

9. Termination

Termination by You

You may terminate your account at any time by following the instructions within your account dashboard or contacting customer support. Termination will be effective at the end of your current billing cycle.

Termination by Us

We reserve the right to suspend or terminate your account and access to the Services at our sole discretion, without notice, for conduct that we believe violates these Terms, is harmful to other users of the Services, or is harmful to us, our partners, or third parties, or for any other reason.

 

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

AXIM COMMERCE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. AS A USER, YOU ASSUME FULL RESPONSIBILITY FOR YOUR USE OF THE SERVICES AND THE RESULTS OBTAINED THEREFROM.

 

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AXIM COMMERCE, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF THE SERVICES, EVEN IF AXIM COMMERCE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO AXIM COMMERCE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

 

12. Governing Law

These Terms of Use shall be governed by the laws of India, without giving effect to its conflict of laws provisions. You agree that the appropriate court in Bangalore, India, will have the exclusive jurisdiction to resolve all disputes arising under these Terms of Use, and you consent to personal jurisdiction in such a forum.

 

13. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make changes, we will notify you by revising the date at the top of the policy and, in some cases, providing you with additional notice (such as adding a statement to our homepage or sending you an email notification). Your continued use of the Services following the posting of changes constitutes your acceptance of such changes.
